1. Agreement to Terms
By accessing or using our website, mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Services.
Important: These Terms contain a binding arbitration clause and class action waiver in Section 14, which affect your legal rights. Please review them carefully.

- Legal research and analytic capabilities
- Access to a network of licensed attorneys (where applicable)
3. No Attorney-Client Relationship
Using Legali does not create an attorney-client relationship between you and Legali, its employees, or contractors. Any information you provide through the Services is not protected by attorney-client privilege.
If you use our Services to connect with an independent attorney through our network, an attorney-client relationship may be established directly between you and that attorney, subject to separate terms and engagement agreements.
4. Not a Substitute for Legal Advice
The Services are designed to provide general legal information and tools. They are not a substitute for personalized legal advice from a licensed attorney who understands your specific circumstances.
You should always:
- Consult with a qualified attorney before making important legal decisions
- Have any documents generated through Legali reviewed by an attorney before signing or filing
- Seek professional legal counsel for questions about your specific legal situation
- Verify all information and ensure it complies with current laws in your jurisdiction
You should not:
- Rely solely on Legali for legal strategy, compliance requirements, or filing deadlines
- Use Legali outputs for matters involving significant financial stakes, complex legal issues, or potential criminal liability without attorney review
- Assume that document templates or automated tools account for all nuances of your situation
5. Eligibility and Account Registration
5.1 Age Requirements
You must be at least 18 years old to use the Services. By using Legali, you represent and warrant that you meet this age requirement.
5.2 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
5.3 Account Suspension
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Services.
6. User Responsibilities and Conduct
6.1 Lawful Use
You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, local, and international laws and regulations.
6.2 Prohibited Activities
You may not:
- Use the Services for any illegal, fraudulent, or unauthorized purpose
- Impersonate any person or entity or misrepresent your affiliation
- Upload, transmit, or distribute any viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Services or related systems

- Harvest, scrape, or collect user information without permission
- Copy, modify, reverse engineer, decompile, or create derivative works from the Services
- Resell, redistribute, or commercialize any aspect of the Services without written permission
- Use automated systems (bots, scrapers) to access the Services without authorization
- Remove, obscure, or alter any legal notices, including copyright and trademark notices
6.3 Your Responsibility for Decisions
All legal decisions, document filings, court submissions, contract executions, and other actions taken based on information or documents from Legali are solely your responsibility. You assume all risks associated with your use of the Services.
7. Fees and Payment
7.1 Pricing
Certain Services require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in our Refund Policy or required by law.
7.2 Subscriptions
If you purchase a subscription:
- Your subscription will automatically renew at the end of each billing period unless you cancel
- We will charge your payment method on file at the then-current subscription rate
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period
7.3 Price Changes
We reserve the right to modify our fees at any time. We will provide reasonable advance notice of any fee changes. Your continued use of paid Services after a price change constitutes acceptance of the new fees.
7.4 Taxes
Fees are exclusive of all taxes, levies, or duties. You are responsible for payment of all such taxes except those based on Legali's net income.
7.5 Refund Policy
Refund requests must be submitted within 30 days of purchase. We evaluate refund requests on a case-by-case basis. Subscriptions are not eligible for refunds unless required by applicable law.
8. Intellectual Property Rights
8.1 Legali's IP
The Services, including all software, algorithms, text, graphics, logos, button icons, images, audio clips, data compilations, and code, are the property of Legali or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms. This license does not include any right to:
- Resell or make commercial use of the Services
- Make derivative uses of the Services or any content
- Download or copy account information for the benefit of third parties
- Use data mining, robots, or similar data gathering tools
8.3 Your Content
You retain ownership of any documents, information, or content you upload or input into the Services ("Your Content"). By uploading Your Content, you grant Legali a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and process Your Content solely to provide and improve the Services.
8.4 Documents Generated Through Legali
Documents generated through Legali using your input are for your personal use. While you may use these documents for their intended legal purpose, you may not resell, redistribute, or commercialize them as templates or products.
9. Privacy and Data Security
9.1 Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
9.2 Data Security
We implement reasonable administrative, physical, and technical safeguards to protect your information. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security of your data.
9.3 Your Data Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Ensuring you have the right to upload and share any information you provide
- Complying with applicable data protection laws regarding any information you process through the Services
10. Disclaimers and Warranties
10.1 "AS IS" and "AS AVAILABLE"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2 No Guarantees
LEGALI DOES NOT WARRANT THAT:
- The Services will be uninterrupted, secure, or error-free
- The results obtained from using the Services will be accurate, complete, or reliable
- Any documents, information, or content obtained through the Services will meet your requirements
- Any errors in the Services will be corrected
- The Services will be compatible with all devices or operating systems
10.3 Legal Information Disclaimer
LEGALI MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, CURRENTNESS, OR SUITABILITY OF ANY LEGAL INFORMATION, DOCUMENTS, OR TOOLS PROVIDED THROUGH THE SERVICES. LAWS CHANGE FREQUENTLY, AND LEGAL INFORMATION MAY BECOME OUTDATED.
10.4 Third-Party Content
The Services may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for the content, accuracy, or practices of third-party sites or services.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEGALI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or use
- Loss of business or business opportunities
- Legal fees, court costs, or other litigation expenses
- Damages resulting from reliance on information provided through the Services
- Damages from errors, omissions, or inaccuracies in documents or information
- Missed deadlines, filing errors, or rejected submissions
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNT YOU PAID TO LEGALI IN THE 12 MONTHS PRECEDING THE CLAIM.
11.3 Basis of the Bargain
YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN THESE TERMS REFLECT A REASONABLE ALLOCATION OF RISK AND THAT LEGALI WOULD NOT BE ABLE TO PROVIDE THE SERVICES ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.
11.4 State Law Variations
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Legali and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any rights of a third party
- Any documents, filings, or legal actions taken based on information or documents from Legali
- Any content you upload or submit through the Services
13. Modifications to Terms and Services
13.1 Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Effective Date" at the top of these Terms
- Notify you via email or through a notice on the Services
- Provide a reasonable opportunity to review the changes
Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
13.2 Changes to Services
We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
If you have a concern or dispute with Legali, you agree to first attempt to resolve it informally by contacting us at contact@legali.io. We will attempt to resolve disputes in good faith.
14.2 Binding Arbitration
If we cannot resolve a dispute informally within 30 days, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration will be conducted:
- By a single arbitrator
- In the state of California, unless both parties agree otherwise
- Under the substantive laws of the State of Delaware (without regard to conflicts of law principles)
The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14.4 Exceptions
Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Services or infringement of intellectual property rights without first engaging in arbitration or informal dispute resolution.
14.5 Opt-Out Right
You have the right to opt out of this arbitration provision within 30 days of first accepting these Terms by sending written notice to contact@legali.io with the subject line "Arbitration Opt-Out" and including your name and email address.
15. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in California.
16. Termination
16.1 Termination by You
You may terminate your account at any time by contacting us at contact@legali.io or through your account settings. Termination does not relieve you of any obligations incurred prior to termination.
16.2 Termination by Legali
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Extended periods of inactivity
- At our sole discretion
16.3 Effect of Termination
Upon termination:
- Your right to access and use the Services will immediately cease
- You remain responsible for all fees and charges incurred prior to termination
- You may request a copy of your data within 30 days of termination
- Provisions that by their nature should survive termination shall remain in effect (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability)
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Legali regarding the Services.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by Legali.
17.4 Assignment
You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms without restriction.
17.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
17.6 Force Majeure
Legali shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet service failures, or governmental actions.
17.7 Export Compliance
You agree to comply with all applicable export and import laws and regulations in your use of the Services.
17.8 Electronic Communications
You consent to receive electronic communications from Legali, including emails, notices, and disclosures. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
18. State-Specific Disclosures
18.1 California Users
Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice:

18.2 Notice to New Jersey Residents
Limitations on liability in Section 11 do not apply to punitive damages claims under New Jersey law.
